UK company formation is the registration of a new limited company at Companies House. From Pakistan you need a company name, a UK registered address, at least one director, shareholder details and identity verification; approval is often within one to two working days.
Documents you need
Passport, proof of address, the proposed company name, a SIC code for your activity and share details.
Identity verification
Companies House now requires directors and people with significant control to verify their identity.
After formation
Get your certificate of incorporation, open a bank account and register for Corporation Tax within the deadline.
Pakistan side, step 1: BOI
If a UK company will open a branch or liaison office in Pakistan, apply to the Board of Investment (invest.gov.pk) for permission. BOI reviews the parent company documents and business plan; branch permission is usually granted for an initial term and renewed.
Step 2: SECP
With BOI permission, register the branch with the Securities and Exchange Commission of Pakistan (secp.gov.pk), or incorporate a Pakistani private limited subsidiary instead. A TheWing.pk virtual office or team pod can serve as the registered address.
Step 3: NTN with FBR
Register the branch or subsidiary with the Federal Board of Revenue for an NTN, and for sales tax on services with the provincial authority when required.
Step 4: Pakistani bank account
Open a corporate account with the SECP certificate, NTN, board resolution and director documents; inward remittances from the UK company then fund local costs through proper banking channels.
Step 5: Payroll
Register with EOBI and the provincial social security body, withhold income tax on salaries and file monthly. In the UK, AccoTax runs PAYE for any UK staff and keeps the intercompany records consistent.
